General terms and conditions of sales

1. Purpose

These General Terms and Conditions of Sale govern sales made by Milee, a Luxembourg limited liability company, registered with the Luxembourg Trade and Companies Register under number B279242, with its registered office located at 5, Avenue du Swing, L-4367 Belvaux (Luxembourg). Milee offers AC and DC charging stations, smart cables, as well as associated services, including a dedicated platform for managing and reimbursing electric vehicle charging costs.

2. Products and Services

Milee offers its customers electric vehicle charging solutions, including:

– AC and DC charging stations;

– Smart cables;

– Digital services accessible via subscription, allowing the management of charging processes and reimbursement of related costs. 

The technical specifications and details of each product or service are available upon request from our sales team.

3. Pricing and Payment

The prices of products and services are communicated to clients after contact with our sales team and are valid for a specified period indicated in the quote. 

Payment can be made by bank transfer, under the terms defined in the quote or the sales contract. Orders are confirmed after full receipt of payment.

4. Delivery

Ordered products are delivered to the address specified by the client, according to the terms defined in the sales contract. Milee strives to meet the indicated delivery times, but they are given as estimates. In case of delay, Milee cannot be held liable for any damages suffered by the client. 

Transport risks are transferred to the client upon handover of the products to the carrier.

5. Service Subscription

Access to Milee’s charge management and reimbursement services is available through an annual subscription. The subscription fee is communicated to the client when the quote is sent, and it is payable in full by bank transfer before the start of the subscription period. 

Unless otherwise indicated, the subscription is for a 12-month period and is automatically renewed unless terminated by either party at least 3 months before the end of the current period.

6. Legal Warranty

In accordance with Luxembourg law, all hardware products supplied by Milee come with a 2-year legal conformity warranty from the date of delivery. This warranty covers manufacturing defects or product non-compliance. 

In case of issues, the client must inform Milee in writing. After verification, defective products may be repaired or replaced free of charge. Any improper use of the products or unauthorized modifications will void the warranty.

7. Liability

Milee disclaims any liability for indirect, immaterial, or consequential damages arising from the use of the products or services, including delivery delays. 

Milee’s liability, in all cases, is limited to the amount of the relevant order.

8. Right of Withdrawal

In accordance with Article L. 221-3 of the Consumer Code, and provided that the Contract has been concluded as a “distance contract” or “off-premises contract” and that the Client is considered a “consumer,” the Client has a period of fourteen (14) calendar days from the receipt of the products to exercise their right of withdrawal without needing to provide a reason. For subscription services, this period starts from the subscription date. 

The client must inform Milee of their decision in writing and return the products at their own expense in their original condition. Milee will issue a refund within 14 days of receiving the products. If Milee finds that the products are damaged upon receipt, the respective costs will be charged to the Client.

9. Data Protection

Personal and professional information collected during interactions with Milee is processed in accordance with our Privacy Policy, available on our website. This data is used solely for order management and service provision.

10. Applicable Law and Jurisdiction

These General Terms and Conditions of Sale are governed by Luxembourg law. In case of a dispute, the parties agree to attempt an amicable resolution before referring the matter to the competent courts of Luxembourg.

11. Modification of the General Terms and Conditions of Sale

Milee reserves the right to modify these GTC at any time. The new conditions will apply to all orders and subscriptions concluded after their publication.
